Business and securities valuation

A valuation is a conclusion tied to the company’s accounts, contracts, and risks, written so counsel, a counterparty, or a court can follow the reasoning. That is the work of a CBV who also practises as a CPA.

Shareholder and partner disputes

Oppression, shotgun, buy-out, and deadlock files where the parties do not already agree on value.

Corporate reorganizations

Estate freezes, internal reorganizations, and related-party transfers that need a supportable value at a stated date.

Family law, insurance, and estates

Business interests in a family-law context, insurance and business-interruption questions, and estate planning or administration.

Business valuation questions

What does a Toronto valuator actually deliver?

Depending on the purpose, a valuation engagement can range from a reasoned conclusion of value in a formal report to a more limited calculation. The standard of value, the date, and the audience drive the scope. Amir Rosenthal is a Chartered Business Valuator and discusses scope before work begins.

When do private companies in Toronto need a valuation?

Common reasons include buying or selling a business, a shareholder or partner dispute, a corporate reorganization, family-law property issues, insurance or business-interruption claims, and estate planning or administration.

Is this independent of the accounting work?

Valuation opinions have to be independent in fact and appearance for the purpose they serve. Where Amir already acts as accountant, conflicts and safeguards are considered up front. Some files are appropriate to keep; others are not. That conversation happens before an engagement letter.

Do you value early-stage companies as well as established ones?

The practice works with private companies and start-ups. Early-stage files are taken on when there is enough information to support a professional conclusion or calculation. Not every idea-stage company is ready for a formal valuation.

How is a valuation engagement started?

A complimentary introductory discussion is the usual first step. Call 416-955-0637 or email amirrosenthal@grunco.com with the purpose, the date of value if known, and who will rely on the work.
